These Terms of Service apply to all use of the VOLT website, platform, and services and to every agreement between VOLT and a customer.
VOLT is intended exclusively for business users. By creating an account or entering into an agreement with VOLT, you confirm that you are acting in the course of a business or profession.
Any deviation from these terms is only valid when agreed with VOLT in writing.
The customer’s purchasing terms or other general terms are expressly rejected unless VOLT has accepted them in writing.
An account is required to use certain parts of VOLT.
You are responsible for:
Accounts are personal and may not be transferred or shared with persons outside the organization for which the account was created without VOLT’s permission.
You must notify VOLT immediately if you suspect unauthorized use of an account or login credential.
The customer may provide employees, franchisees, locations, contractors, or other authorized persons with access to the platform.
The customer is responsible for the acts and omissions of all users who access VOLT through its account or organization.
The customer must ensure that each user complies with these terms and only receives access to information and functionality for which that user is authorized.
You may only use VOLT for lawful business purposes and in accordance with these terms.
You may not:
VOLT may apply reasonable usage limits to prevent misuse, overload, or disproportionate use of the platform.
The customer retains all rights to texts, images, logos, brand guidelines, documents, files, and other materials placed in VOLT by or on behalf of the customer.
The customer grants VOLT a non-exclusive, worldwide, and temporary right to host, process, copy, and display these materials to the extent necessary to provide the services.
The customer warrants that:
VOLT is not responsible for customer content or for how the customer uses or publishes that content.
VOLT may provide functionality that uses artificial intelligence to generate text, images, recommendations, checks, or other output.
AI-generated output may be inaccurate, incomplete, non-unique, or unsuitable. The customer remains responsible for reviewing, editing, and approving all output before it is used or published.
VOLT does not guarantee that AI-generated output:
The customer may not submit confidential, sensitive, or special-category personal data to AI features unless expressly agreed with VOLT and appropriate safeguards have been implemented.
VOLT may provide integrations with external services, including social media, content platforms, storage services, and other software providers.
The availability and operation of these integrations partly depend on the external provider. VOLT has no control over changes, outages, restrictions, or termination of external services.
The customer remains responsible for:
VOLT does not guarantee that scheduled content will always be published at the requested time or without modification by an external platform.
Available subscriptions, features, usage limits, and prices are stated in the quotation, order confirmation, subscription environment, or on the VOLT website.
All prices exclude VAT and other applicable taxes unless expressly stated otherwise.
VOLT may change its prices and subscription plans. A price change affecting an existing subscription will be announced in advance and will not take effect before the next renewal period, unless the change results from legislation, taxes, or third-party costs outside VOLT’s reasonable control.
Additional terms may apply to temporary offers, trials, and discounts.
Invoices must be paid within the payment period stated on the invoice.
If no payment period is stated, payment is due within fourteen days of the invoice date.
If payment is overdue, VOLT may, after issuing a payment reminder:
Payment obligations continue during a temporary suspension resulting from overdue payment.
The subscription term is stated when the agreement is entered into.
Unless agreed otherwise, a subscription automatically renews for the same period after the initial or current term.
The customer may cancel the subscription subject to the agreed notice period. If no separate notice period has been agreed, a one-month notice period applies before the end of the current subscription period.
Cancellation may be submitted through the relevant account settings or by emailing info@voltapp.nl.
VOLT may offer a free or paid trial period.
VOLT may limit features, storage capacity, and usage during a trial.
Unless clearly stated otherwise in advance, a trial ends automatically without creating a paid subscription.
Where a trial automatically converts into a paid subscription, this will be clearly disclosed before the trial starts.
VOLT aims to provide a reliable and secure platform but does not guarantee uninterrupted or error-free availability.
VOLT may temporarily make the platform unavailable for:
Where reasonably possible, scheduled maintenance will be announced in advance.
VOLT may change, add, or remove features. If a change materially reduces the core functionality of a paid subscription, VOLT will inform the customer in advance.
All intellectual-property rights relating to VOLT, including its software, design, source code, documentation, models, databases, trade names, and logos, belong to VOLT or its licensors.
The customer only receives a limited, non-exclusive, non-transferable, and revocable right to use the platform for the duration of the agreement.
Feedback, ideas, and suggestions provided to VOLT may be used without compensation to improve the platform and services. This does not give VOLT ownership of customer content or confidential business information.
VOLT processes personal data in accordance with its privacy policy and applicable data-protection laws.
Where VOLT processes personal data on the customer’s behalf, the parties may enter into a separate data processing agreement. In the event of a conflict concerning the processing of personal data, the data processing agreement takes precedence.
The customer is responsible for having a valid legal basis for any personal data it collects, uploads, processes, or publishes through VOLT.
Each party must treat confidential information received in connection with the agreement as confidential.
Information is not considered confidential where it:
Where disclosure is legally required, the other party will be informed in advance to the extent legally permitted.
VOLT may immediately suspend or terminate access to the platform where:
Where reasonably possible, the customer will first be given an opportunity to remedy the breach within a reasonable period.
Upon termination, the right to use VOLT ends. Outstanding payment obligations remain due.
The customer is responsible for exporting its data and files in time before the agreement ends.
Following termination, VOLT may keep customer data available for export for a limited period. The data may then be deleted unless a legal retention obligation applies or otherwise agreed in writing.
VOLT is not required to retain data indefinitely or restore data after it has been deleted.
VOLT provides its services on a reasonable-efforts basis.
VOLT does not guarantee that:
Any mandatory warranties or rights that cannot legally be excluded remain unaffected.
VOLT’s total liability is limited to the amount paid by the customer for the relevant service during the six months preceding the event giving rise to the damage.
If the agreement has been in effect for less than six months, liability is limited to the amount actually paid.
VOLT is not liable for:
These limitations do not apply in cases of intentional misconduct or deliberate recklessness by VOLT or where liability cannot legally be limited.
The customer indemnifies VOLT against third-party claims arising from:
This indemnification does not apply where the claim directly results from intentional misconduct or deliberate recklessness by VOLT.
VOLT is not liable where an obligation cannot be performed or cannot be performed on time due to circumstances outside its reasonable control.
Force majeure includes:
If the force majeure event continues for more than sixty days, either party may terminate the agreement in writing without liability for damages.
VOLT may amend these terms where necessary due to changes in its services, business operations, legislation, security requirements, or technical developments.
Material changes will be announced in advance through the platform, website, or by email.
Where a change materially disadvantages an existing customer, the customer may terminate the agreement before the change takes effect, unless the change is required to comply with applicable law.
The customer may not assign its rights or obligations under the agreement without VOLT’s prior written consent.
VOLT may assign the agreement in connection with a restructuring, merger, acquisition, or transfer of its business, provided that the customer’s rights are not materially reduced.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.
The parties will replace the affected provision with a valid provision that reflects the purpose and intent of the original provision as closely as possible.
These terms and every agreement with VOLT are governed by Dutch law.
The parties will first attempt to resolve any dispute through mutual consultation.
If no resolution can be reached, the dispute will be submitted to the competent court in the district of Oost-Brabant, unless mandatory law requires a different competent court.
